The Odin Outline : Terms & Conditions

 

By placing an order with The Odin Outline, you confirm that you are in agreement with and bound by the terms and conditions stated below.



General
The Odin Outline will carry out work only where an agreement is provided either by email, mail or fax. The Odin Outline will carry out work only for clients who are 18 years of age or above. An 'order' is deemed to be a written or verbal contract between The Odin Outline and the client.


Website Design
Whilst every endeavour will be made to ensure that the website and any scripts or programs are free of errors, The Odin Outline cannot accept responsibility for any losses incurred due to malfunction, the website or any part of it.

The website, graphics and any programming code remain the property of The Odin Outline until all outstanding accounts are paid in full.

Any scripts, cgi applications, php scripts, or software (unless specifically agreed) written by The Odin Outline remain the copyright of The Odin Outline and may only be commercially reproduced or resold with the permission of The Odin Outline.

The Odin Outline cannot take responsibility for any copyright infringements caused by materials submitted by the client. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.

Any additions to briefs provided will be carried out at the discretion of The Odin Outline and where no charge is made by The Odin Outline for such additions, The Odin Outline accepts no responsibility to ensure such additions are error free and reserve the right to charge an according amount for any correction to these or further additions.

The client agrees to make available as soon as is reasonably possible to The Odin Outline all materials required to complete the web design process to the agreed standard and within the set time frame.

The Odin Outline will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.
The Odin Outline will not be liable or become involved in any disputes between the site owner and their clients and cannot be held responsible for any wrongdoing on the part of a site owner. e.g. Any disputes re content/images that have been provided to us for inclusion on the site.

The Odin Outline will not be liable for any costs incurred, compensation or loss of earnings due to the work carried out on behalf of the client or any of the clients appointed agents.

The Odin Outline will not be liable for any costs incurred, compensation or loss of earnings due to the unavailability of the site, its servers, software or any material provided by its agents.

Once a website has been designed and completed the final balance of payment is then due in accordance with the payment terms. There are no exceptions to this, i.e. if the client decides they no longer want the site, as they have commissioned the work and paid a deposit, they are still obliged to pay for the work that has been done. Non payment will result in legal action being taken if necessary. Once full payment is received for a website, it is assumed that the project has been completed to the client’s satisfaction and no refunds can be offered. We do offer free updates for a month, excluding major structural changes, after completion to allow for any final amendments that may be required.



Database, Application and E-Commerce Development
The Odin Outline cannot take responsibility for any losses incurred by the use of any software created for the client. Whilst every care has been taken to ensure products are problem free and accurate, the ultimate responsibility lies with the client in ensuring that all software is functioning correctly before use.

Any scripts, applications or software (unless specifically agreed) written by The Odin Outline remain the copyright of The Odin Outline and may only be commercially reproduced or resold with the permission of The Odin Outline.

Where applications or sites are developed on servers not recommended by The Odin Outline, the client is expected to provide or seek any information, additional software, support or co-operation pertaining to the server required in order for the application to be correctly developed. Where large applications are to be developed, it is the client’s responsibility to provide a suitable testing environment which is identical to the final production environment.

The client is expected to test any application or programming in its entirety relating to a website developed by The Odin Outline before being made generally available for use. Where “bugs”, errors or other issues are found after the site is live, The Odin Outline will endeavour (but is not obliged to) to correct these issues to meet the standards of function outlined in the brief.



Compatibility
The Odin Outline will endeavour to ensure that any developed/designed site or application will function correctly on the server it is initially installed in and that it will function correctly when viewed with the web browsing software Microsoft Internet Explorer Version 7 and to an acceptable level with Mozilla browsers. The Odin Outline can offer no guarantees of correct function with all browser software.



Website Hosting
Whilst The Odin Outline recommends its hosting packages, no guarantees can be made as to the availability or interruption of this service by The Odin Outline. The Odin Outline accepts no liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.

The Odin Outline reserves the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also to terminate the hosting service should the necessity arise.

 

Free Website Hosting
Free website hosting is only available within South Africa. Accounts will be screened before activation to avoid fraud related activities.



Website Optimization
Due to external factors, such as changes to the way search engines rank websites, we cannot offer any guarantees regarding the position we will achieve for websites. The process of optimizing websites itself will bring in more traffic and hits and you'll see visits increase to your site naturally. We cannot accept liability for any change in rankings, or drop off in the position of your website due to changes in the algorithms of the search engines or the factors that they use to rank websites.

We use 'white hat techniques' when optimizing websites and always aim to achieve a top ten ranking for your website within six months of undertaking the optimization process. Due to the work involved, payment is generally required in advance and we are unable to offer a refund of any monies to clients in relation to this type of work.

The Odin Outline reserves the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial.


Uncapped Accounts
Your usage is measured against your peers within the same bandwidth-size pool (i.e. 384,512, 4096). So if you use your bandwidth steadily and don't try abuse the network, you should be fine. If you abuse the service and max out your line for hours at a time, the priority on your account lessens. You're given a star-rating, much like a hotel rating of between 1 and 5 stars. A 5-star rating has a higher priority over a 4,3,2 and 1 star account, so when there's congestion, 5 stars will have a better experience. If there's no congestion (mostly after hours), even a 1-star account can have a good experience. This is because the network is designed to make all available bandwidth accessible to its users. The star rating is determined by your usage over the last 10 days compared to the global usage over the last 10 days for that same bandwidth pool. If your usage goes above the thresholds set (384/512 = 20%, 4096 = %50), you lose stars according to how far over the threshold you went.

 

Acceptable Use Policy
This AUP governs the use of The Odin Outline’s web hosting service. Violation of this AUP may result in suspension or termination of your service.

Offensive Content

You may not publish or transmit via The Odin Outline’s service any content that The Odin Outline reasonably believes:

  • constitutes child pornography;
  • constitutes pornography or adult related material;
  • is excessively violent, incites violence, threatens violence, or contains harassing content or hate speech;
  • is unfair or deceptive under the consumer protection laws of any jurisdiction, including chain letters and pyramid schemes;
  • is defamatory or violates a person's privacy;
  • creates a risk to a person's safety or health, creates a risk to public safety or health, compromises national security, or interferes with a investigation by law enforcement;
  • improperly exposes trade secrets or other confidential or proprietary information of another person;
  • is intended to assist others in defeating technical copyright protections;
  • clearly infringes on another person's trade or service mark, patent, or other property right;
  • promotes illegal drugs, violates export control laws, relates to illegal gambling, or illegal arms trafficking;
  • is otherwise illegal or solicits conduct that is illegal under laws applicable to you or to The Odin Outline; or
  • is otherwise malicious, fraudulent, or may result in retaliation against The Odin Outline by offended viewers.

Content "published or transmitted" via The Odin Outline's service includes Web content, e-mail, bulletin board postings, chat, and any other type of posting or transmission that relies on any Internet service provided by The Odin Outline.

The Odin Outline is under no duty, and does not by this AUP undertake a duty, to monitor or police our customers' activities and disclaims any responsibility for any misuse of the Odin Outline services.

 

Security
You must take reasonable security precautions & must protect the confidentiality of your password, and you should change your password periodically.

 

Bulk Commercial E-Mail
You must obtain The Odin Outline's advance approval for any bulk commercial e-mail, which will not be given unless you are able to demonstrate all of the following to The Odin Outline's reasonable satisfaction:
  • Your intended recipients have given their consent to receive e-mail via some affirmative means, such as an opt-in procedure;
  • Your procedures for soliciting consent include reasonable means to ensure that the person giving consent is the owner of the e-mail address for which the consent is given;
  • You retain evidence of the recipient's consent in a form that may be promptly produced on request, and you honour recipient's and The Odin Outline's requests to produce consent evidence within 72 hours of receipt of the request.
  • The body of the e-mail must describe how the e-mail address was obtained, for example, "You opted in to receive this e-mail promotion from our Web site or from one of our partner sites," and information on how to request evidence of the consent, for example, "If you would like to learn more about how we received your e-mail address please contact us.
  • You have procedures in place that allow a recipient to easily revoke their consent “such as a link in the body of the e-mail, or instructions to reply with the word "Remove" in the subject line. Revocations of consent are honoured within 72 hours, and you notify recipients that their revocation of their consent will be honoured in 72 hours;
  • You may not obscure the source of your e-mail in any manner. Your e-mail must include the recipients e-mail address in the body of the message or in the "TO" line of the e-mail; and You otherwise comply with the CAN SPAM Act and other applicable law.

These policies apply to messages sent using your service provided by The Odin Outline, or to messages sent from any network by you or any person on your behalf that directly or indirectly refer the recipient to a site hosted via your service provided by The Odin Outline. In addition, you may not use a third party e-mail service that does not practice similar procedures for all its customers.
The Odin Outline may test and otherwise monitor your compliance with its requirements, including requesting opt-in information from a random sample of your list at any time.

 

Unsolicited E-Mail
You may not send any unsolicited e-mail, either in bulk or individually, to any person who has indicated that they do not wish to receive it.
You must comply with the rules of any other network you access or participate in using your services provided by The Odin Outline.

Material Protected by Copyright

You may not publish, distribute, or otherwise copy in any manner any music, software, art, or other work protected by copyright law unless:

  • You have been expressly authorised by the owner of the copyright for the work to copy the work in that manner;
  • You are otherwise permitted by established United States copyright law to copy the work in that manner.

The Odin Outline will terminate the service of repeat copyright infringers.

 

Other
You must have valid and current information on file with your domain name registrar for any domain hosted through The Odin Outline.

 

Disclaimer
The Odin Outline is under no duty, and does not by this AUP undertake a duty, to monitor or police our customers' activities and disclaims any responsibility for any misuse of the Odin Outline services.

 

Internet Abuse

You may not engage in illegal, abusive, or irresponsible behaviour, including:

  • Unauthorised access to or use of data, systems or networks, including any attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures (including those belonging to The Odin Outline and its customers) without express authorisation of the owner of the system or network;
  • monitoring data or traffic on any network or system without the authorisation of the owner of the system or network;
  • Interference with service to any user, host or network including, without limitation, mail bombing, flooding, deliberate attempts to overload a system and broadcast attacks;
  • Use of an Internet account or computer without the owner's authorisation, including, but not limited to Internet scanning (tricking other people into releasing their passwords), password robbery, security hole scanning, and port scanning;
  • Forging of any TCP-IP packet header or any part of the header information in an e-mail or a newsgroup posting; or
  • Any conduct that is likely to result in retaliation against The Odin Outline's network.
  • Use of The Odin Outline's network in a way that unreasonably interferes with The Odin Outline's other customers use of the network

Payment of Accounts
A deposit of 50% is required with all projects before any design work commences. It is The Odin Outline’s policy that any outstanding accounts for work carried out by The Odin Outline or its affiliates are required to be paid in full, no later than 14 days from the date of the invoice unless prior arrangement is made with The Odin Outline.
The Odin Outline reserves the right to remove any discounts that may have been applied to clients invoices should no payment be received within the 14 days of invoice unless prior arrangement is made with The Odin Outline.

Once a deposit is paid and work completed, clients are obliged to pay the balance of payment in full. The Odin Outline will contact clients via email and telephone to remind them of such payments if they are not received when due.

If accounts are not settled or The Odin Outline has not been contacted regarding the delay, access to the related website & related services such as hosting, ADSL, email or any other services that have been rendered may be denied and web pages suspended.  We will then pass cases which cannot be resolved to the Small Claims Court to pursue payment.  Non payment can result in county court judgements (ccj's) being added to the client’s credit rating.

Following consistent non payment of an invoice our Solicitors will contact the client in question, with a view to taking the matter further and if need be to seek payment through legal procedures, and if necessary court summons.


Privacy Policy
This Privacy Policy describes the information we collect from you, what we do with the information, and our information security practices. If you have any questions about our Privacy Policy, please contact us.

 

Information
When you sign up for our service, we will ask you to provide contact information such as your name, address, telephone numbers, e-mail addresses, and payment information. If you contact us for customer support, we may also ask you for information about your operating system, software and other technical matters. When you visit our Web site we will capture your IP Address, time of and duration of visit, and time and duration of the pages on our Web site that you view. We may tie this information to the personally identifiable information we have about you. We will also place a cookie that will identify you to us as a repeat visitor or a customer when you visit our Web site. See "What is a Cookie" below. We may tie this cookie to the personally identifiable information we have about you.
If we send you an e-mail, we may include a marker that will allow identifying e-mail that is opened and viewed.

Use of Personally Identifiable Information

We will use your personally identifiable information only as follows:

  • For payment purposes and to provide customer support;
  • To announce special offers or provide other information from time to time via e-mail. We may also send e-mails announcing special offers by our third parties, but we will not provide the third parties with your e-mail address or other personally identifiable information. If you do not wish to receive these e-mails, you may opt out of future e-mails at any time by following the instructions included in the e-mail;
  • To improve our service and the marketing of our service. For example, we may use the information we gather from user surveys, demographic data, and web site visits to help us improve or target our Web site and customise your visit.

We will not provide any personally identifiable information about you to any other person other than:

  • a law enforcement or regulatory agency at their request;
  • a person or company who acquires our business;
  • As otherwise needed to protect or enforce or rights or the rights of others.

We absolutely do not transfer or sell your information for inclusion on third party e-mail or other marketing lists.

 

What is a Cookie
A "cookie" is an alphanumeric identifier that is unique to your browser. The cookie will identify your browser to us when you visit our web site so that we may customise your visit.

 

Security of Your Information
We store your personally identifiable information and payment information in a database which has numerous protection policies in place to ensure its security. We encrypt some sensitive data such as passwords.

 

Children's Privacy
Our service is not available to children under the age of 13, and we will not intentionally maintain information about anyone under the age of 13.

Complaints Procedure
Anyone who experiences a problem with the services provided by The Odin Outline should raise the matter directly using our online contact form to do so, giving sufficient information to locate the material (such as a url) and clearly outlining the grounds for complaint. The Odin Outline will approach the individual responsible for the material in question with a view to resolving the matter to the satisfaction of the complainant.

 

Formal complaints procedure
The formal complaints procedure should only be used where the complainant feels that the nature of the complaint is too serious to be dealt with informally, or where a satisfactory conclusion has not been reached after following the informal procedure.
A formal complaint should be made in writing to The Odin Outline, who will acknowledge receipt and ensure that the matter is looked into as soon as possible.
An initial response to any complaint can be expected within seven days of its receipt; a full and considered response to the complaint should be completed within 30 days and any subsequent remedy implemented with the minimum of delay.

 

(g) The Odin Outline reserves the right from time to time to refer to Client in its corporate communications, advertising and marketing materials by referring to this Client Agreement, using the appropriate logos, labels and designations trademarks, trade names, service marks, trade dress and logos, in accordance with Client's then current published guidelines.
